ONLINE ORDER AND PAYMENT TERMS

CROWDSTRIKE’S OFFERINGS ARE SOLELY FOR BUSINESS AND COMMERCIAL USE AND SHALL IN NO EVENT BE USED FOR PERSONAL, FAMILY, OR HOUSEHOLD PURPOSES.

BY PLACING AN ONLINE ORDER WITH CROWDSTRIKE YOU AGREE TO THESE ONLINE ORDER AND PAYMENT TERMS (“ORDER TERMS”), WHICH WILL BE A BINDING CONTRACT BETWEEN THE COMPANY OR OTHER LEGAL ENTITY ON WHOSE BEHALF YOU ARE ORDERING CROWDSTRIKE ‘S OFFERINGS (“CUSTOMER”) AND CROWDSTRIKE, INC., A DELAWARE CORPORATION, ON BEHALF OF ITSELF AND ANY AFFILIATES PERFORMING HEREUNDER (COLLECTIVELY, “CROWDSTRIKE”). YOU REPRESENT AND WARRANT THAT: (I) YOU HAVE FULL AUTHORITY TO ENTER INTO THE ORDER ON BEHALF OF CUSTOMER AND TO BIND CUSTOMER TO THESE ORDER TERMS; (II) YOU HAVE FULL AUTHORITY TO PROVIDE THE SELECTED PAYMENT CARD FOR THE CHARGES DESIGNATED IN THE ONLINE ORDER FORMS AND HEREIN; AND (III) THE PAYMENT AND OTHER INFORMATION YOU HAVE PROVIDED IN CONNECTION WITH THE ORDER IS COMPLETE AND ACCURATE.

This Order is subject to and governed by these Order Terms and the CrowdStrike Terms and Conditions, which Customer previously agreed to with CrowdStrike and which are available here (the “Agreement”). Capitalized terms used but not otherwise defined herein are defined in the Agreement.

1. Payment Authorization.

a.  Customer is responsible for, and will be charged the full annual rate stated on the online order forms, plus applicable taxes. If Customer exceeds the license metric quantities designated on the online order forms, Customer agrees to purchase additional co-terminous licenses to cover such overages at CrowdStrike’s then-standard price, pro-rated for the remainder of the Subscription/Order Term. You authorize CrowdStrike, or its third-party service provider(s), to store the payment card information designated on the online order forms and to automatically charge such payment card for the designated Offerings for the initial Subscription/Order Term and for each renewal Subscription/Order Term, unless either party terminates a current Subscription/Order Term or cancels the upcoming automatic renewal pursuant to these Order Terms or the Agreement.

b.  Customer is required to notify CrowdStrike of any changes to its payment card information, contact information or other information provided in connection with its Order. CrowdStrike may also use updated payment information it obtains independently from third-parties. In the event a payment is not completed for any reason, including an incorrect expiration date, CrowdStrike may retry the card one or more additional times to complete transactions, including by retrying failed cards after updating expiration dates.

2.  Subscription/Order Term.

a.  Customer’s initial Subscription/Order Term for the Order begins once Customer’s payment is authorized and the initial Subscription/Order Term continues for the term designated on the online order forms.

b.  Following the initial Subscription/Order Term, the Order will automatically renew annually for additional 12 month renewal Subscription/Order Terms, unless either party terminates a current Subscription/Order Term or cancels the upcoming automatic renewal pursuant to these Order Terms or the Agreement.

c.  CrowdStrike will send an initial email to Customer reminding it that a Subscription/Order Term is scheduled to automatically renew at least 60 days prior to such renewal. CrowdStrike will send a follow-up email to Customer reminding it that a Subscription/Order Term is scheduled to automatically renew at least 30 days prior to such renewal.

d.  The fees for each renewal Subscription/Order Term will be based on (i) the applicable license metric quantities licensed to Customer through the expiring Subscription/Order Term (including any co-terminous licenses purchased during such term) and (ii) CrowdStrike’s then-standard price for a 12 month subscription for the applicable Offering at the time of renewal, which might be different from the price of the expiring Subscription/Order Term.

e.  If, during a Subscription/Order Term, the licensed CrowdStrike Offering(s) have been renamed, upgraded or replaced with new Offering(s) providing improved or substantially similar functionality, at the time of the next renewal CrowdStrike may modify Customer’s Order to include those new Offering(s), and charge Customer CrowdStrike’s then-standard prices for such Offering(s).

3.  Cancellation and Termination.

a.  Either party can cancel the upcoming automatic renewal of a Subscription/Order Term prior to the start of such Subscription/Order Term by providing written notice to the other party. Customer should provide such notice by emailing CrowdStrike at subcriptions@crowdstrike.com. Customer can also cancel an upcoming automatic Falcon renewal through the “Manage Subscription” feature on the Falcon platform.

b.  Customer can terminate a Subscription/Order Term at any time by emailing CrowdStrike at subscriptions@crowdstrike.com. If Customer terminates within 30 days following the start of the Subscription/Order Term, Customer will receive a full refund of the fees paid for the terminated Subscription/Order Term. Should Customer terminate after 30 days, Customer will not receive any refund.

4. Privacy. By submitting your Personal Information, including physical address, email address, name, and payment information, Customer (i) consents to CrowdStrike’s use of electronic communications related to Customer’s Order and the electronic delivery of notices, policies, and records of transaction; and (ii) consents to CrowdStrike processing (either directly or through third-party service providers) its information in connection with payments and otherwise using such information in accordance with its Privacy Notice, located at https://www.crowdstrike.com/privacy-notice/.
