These CrowdStrike CrowdCredit Terms and Conditions (the “Terms”) are an agreement between you or any company or entity that you are acting on behalf of (“you,” or “your”) and CrowdStrike, Inc. (“CrowdStrike,” “us,” or “we”) and govern your participation in the CrowdCredits promotion and govern the promotional credits provided to you by CrowdStrike for redemption on the CrowdStrike Marketplace (“CrowdCredit(s)”). Capitalized terms used but not defined in these Terms will have the meanings set forth in the CrowdStrike Marketplace Terms of Use governing your use of the Marketplace (the “Agreement”). In addition to these Terms and the Agreement, you agree to be bound by the terms and conditions set out in any applicable CrowdCredit promotion documentation (“Promotion Rules”).

1. CrowdStrike will include additional information applicable for a specific CrowdCredit promotion in the Promotion Rules. The Promotion Rules may specify the promotion name and website link (if any), the nature of the promotion and any benefits which you may obtain through participation, eligibility criteria, the duration for which the CrowdCredits promotion is made available and, any other conditions which you will need to comply with in order to participate in or qualify for CrowdCredits.

2. CrowdCredits may be applied only to eligible third-party offerings purchased through the CrowdStrike Marketplace (collectively, “Eligible Products”). CrowdCredits cannot be applied to any fees or charges for (i) any products or services outside of the CrowdStrike Marketplace, including for CrowdStrike products and services or (ii) any other third-party offerings designated by CrowdStrike as ineligible (collectively, “Ineligible Products”).

3. CrowdCredits may be applied for up to a maximum of 5% discount off of the total fees charged for Eligible Products purchased through the CrowdStrike Marketplace for the initial subscription term of such Eligible Product, and for up to a maximum of 3% discount off of the total fees charged for the renewal term of Eligible Products purchased through the Marketplace. For CrowdStrike Marketplace transactions where you are renewing Eligible Products purchased outside of the CrowdStrike Marketplace, such transaction shall be deemed a renewal for purposes of calculating the applicable discount in this Section 3. Any unused CrowdCredits balance remaining after an order will carry over towards future orders in accordance with these Terms.

4. The redemption value of one CrowdCredit is equal to 1 USD. CrowdCredits have no intrinsic value, are not redeemable for cash, have no cash value outside the CrowdStrike Marketplace, are non-refundable, and serve merely as a means to provide an incentive to order Eligible Products. CrowdCredits may not be purchased for cash, and CrowdStrike does not sell CrowdCredits.

5. CrowdCredits are valid for a limited time only and cannot be redeemed after the expiration date (or such other date designated by us). The expiration date of the CrowdCredits will be stated in the email or other notification provided by us upon issuance of the CrowdCredits. CrowdCredits automatically expire one year from the date they are issued by CrowdStrike. Failure to redeem CrowdCredits before their expiration date will result in forfeiture of the CrowdCredits. We reserve the right to cancel CrowdCredits held by you at any time, for any reason, without an advance notice. No refunds or credits will be granted for any expired or canceled CrowdCredits.

6. If CrowdStrike in its sole discretion deems you meet all eligibility criteria to receive CrowdCredits, CrowdStrike will send notification to the email address associated with your account upon the award of CrowdCredits. Awarded CrowdCredits will automatically be applied up to the amount allowable to purchases of Eligible Products through the CrowdStrike Marketplace.

7. You may not sell, license, rent, or otherwise transfer CrowdCredits to others. CrowdCredits may be applied only to your own CrowdStrike Marketplace account. Redeemed CrowdCredits will not be refunded in the event that you have returned, exchanged, or canceled your subscription or purchase of an Eligible Product.

8. In the event CrowdStrike reasonably suspects, or determines, that you have fraudulently obtained CrowdCredits, misused CrowdCredits, or have otherwise violated any terms of the Agreement, these Terms, or the Promotion Rules, CrowdStrike shall void all CrowdCredits held by you and you are ineligible from participating in future CrowdCredits promotions.

9. If you are a Public Sector entity or other entity that is subject to special rules governing your receipt or use of CrowdCredits, you are not eligible to receive CrowdCredits and may not participate in any CrowdCredits promotion. “Public Sector'' means any state, local and federal government agencies; government-owned or government-controlled entities (e.g., a public university, hospital, or utility); political parties; and multilateral organizations (e.g. United Nations, World Bank Group). Entities purchasing on behalf of Public Sector entities are also not eligible to receive CrowdCredits.

10. Unless expressly authorized by us, CrowdCredits may not be used in conjunction with any other promotional or incentive offer.

11. CrowdCredits will not be applied against any sales, use, value-add, gross receipts, or similar transaction-based taxes that may be applicable to you.

12. Only CrowdStrike customers with an active subscription to the CrowdStrike Falcon Platform are eligible to receive CrowdCredits. Entities that are not current CrowdStrike Falcon customers are not eligible to participate in any CrowdCredits promotion. If your subscription to CrowdStrike Falcon Platform terminates or expires while you hold CrowdCredits, such CrowdCredits are forfeited and become void upon the termination or expiration of your CrowdStrike Falcon subscription.

13. We may modify these Terms or discontinue the CrowdCredits program at any time by posting a revised version of these Terms or by sending you notification via email using the email address associated with your account. The modified Terms will become effective upon posting or, if we notify you by email, as of the date stated in the email message. By participating in a CrowdCredits promotion or using CrowdCredits after the effective date of any modification to these Terms, you agree to be bound by the modified Terms.

14. You agree to submit all information reasonably requested by CrowdStrike for purposes of tracking, verifying and otherwise administering any CrowdCredits promotion. You agree that information regarding your business with CrowdStrike and any information, including personal information you provide to CrowdStrike in connection with a CrowdCredits promotion may be accessed and used by CrowdStrike for any purpose related to the CrowdCredits promotion, including for marketing and publicity purposes, and you authorize such access and use. Personal information collected by CrowdStrike in connection with a CrowdCredits promotion is treated in accordance with CrowdStrike’s Privacy Notice, located at: https://www.crowdstrike.com/privacy-notice (“Privacy Notice”). You acknowledge that CrowdStrike may process and store your personal information in the course of administering a CrowdCredits promotion including sharing your information with regulators, authorities, or other third parties.

15. LIMITATION OF WARRANTIES. You acknowledge that CrowdStrike and its directors, employees, officers, suppliers have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to the CrowdCredits or for any CrowdCredits promotion.

16. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CROWDSTRIKE BE LIABLE TO YOU FOR: (A) ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING IN CONNECTION WITH THESE TERMS OR THE SUBJECT MATTER HEREOF (UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STATUTE, TORT OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES; OR (B) AN AGGREGATE AMOUNT THAT EXCEEDS ONE HUNDRED DOLLARS ($100).

17. You agree, represent, and warrant that: (i) Your participation in any CrowdCredits promotion or use of CrowdCredits does not create an incentive or preference which may constitute a breach of applicable law or regulations, or any obligations, contractual or otherwise, to a third-party; (ii) you will comply with all applicable laws in relation to your participation any CrowdCredits promotion, including, without limitation, all applicable anti-corruption, anti-bribery, and anti-fraud laws, including the United States Foreign Corrupt Practices Act and the United Kingdom Bribery Act, as well as the United States False Claims Act and Anti-Kickback Act; (iii) you are not a Public Sector entity, government official, nor employed by a government owned or controlled entity; (iv) are not on the U.S. Department of Treasury’s List of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons and Entity Lists; and (v) have not been convicted of any offense involving bribery, corruption, fraud, or dishonesty.

18. These Terms and the CrowdCredit Program shall be governed in all respects by the laws of the State of California, without regard to its choice of law rules. Each party waives the right to litigate in court or an arbitration proceeding any dispute as a class action, either as a member of a class or as a representative, or to act as a private attorney general.

19. CrowdStrike reserves the right to audit and verify all CrowdCredits claims and request additional documentation prior to issuance of CrowdCredits to you.
